Please read these terms and conditions carefully before using Our Service.

​1) Interpretation and Definitions

 
a. Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

b. Definitions

For the purposes of these Terms and Conditions:

​

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Benefits refer to any services, products, discounts, offers, or other advantages provided by Programme Partners to Syndi Health users through the Syndi Health platform.

  • Card Provider is the payment processing provider that enables businesses and individuals to accept and manage online payments securely, easily, and quickly

  • Country refers to: United Kingdom

  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to SYNDI LTD, Unit 1, Cambridge House Camboro Business Park, Oakington Road, Girton, Cambridge, Cambridgeshire, United Kingdom, CB3 0QH.

  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

  • Programme Partner refers to any third-party service provider, vendor, or partner that offers services, products, or benefits to Syndi Health users through the Syndi Health platform

  • Service refers to the Syndi Health platform, its features, and any related services provided by Syndi Health, including but not limited to access to Programme Partner services and Benefits

  • Services refers to the digital health services recommended vis Syndi’s platform

  • Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

  • Website refers to Syndi Health Platform.

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

 

2) Acknowledgement

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

​

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

 

3) Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

 

4) SyndiCard 

  1. ​The current Card Provider (the “Card Provider”) is Stripe but Syndi may change the Card Provider from time to time. In order to access these funds you will need to create an account with the Card Provider and may be required to sign up to their terms and the Card Provider may ask you to take part in certain “know your client” and anti money laundering checks. The Card Provider is a third party service provider and Syndi has no responsibility for our involvement in these checks. 

  2. Once you have registered with the Card Provider, you will be provided with a VISA card and the availability to make purchases up to the funded account limit (the “SyndiCard”). 

  3. The SyndiCard may only be used with certain vendors, and Syndi makes no guarantees about the availability of any vendors. Any purchase made via the SyndiCard shall be between the SyndiCardholder and the vendor, and Syndi shall have no liability in respect of this transaction or any of the goods and services provided. 

  4. Syndi may change the limits and restrictions of the SyndiCard without notice at any time.

  5. You shall ensure that your use of the SyndiCard does not contravene any applicable laws, in particular in relation to money laundering. 

  6. You shall not: i) use a SyndiCard to top up any other cash account or pay off any form of debt; ii) sell, transfer or permit any other person to use your SyndiCard. 

  7. Any fines, charges or commitments attached to your SyndiCard shall be your sole responsibility, and Syndi shall have no liability in respect of these.

  8. If your SyndiCard is lost, stolen or fraudulently used, you must immediately inform us by logging into the Platform and cancelling your SyndiCard. Syndi does not offer a chargeback or anti-fraud service in respect of SyndiCards. If you lose your SyndiCard and need it replaced you may be charged an administrative fee relating to the re-issue of your SyndiCard.

  9. Syndi may end your ability to use a SyndiCard immediately if you are found to be in breach of these terms or are using the SyndiCard other than for its intended purpose. Syndi may view the transaction history of the SyndiCard at any time and may, but has no obligation to, take action should the suspicious activity be detected. This action may include seeking to recover damages from you as the cardholder. 

 

5) Apple Pay or Google Pay

 
​a. How Apple Pay or Google Pay Works

Making Payments

​

Apple Pay or Google Pay enables you to create virtual representations of your SyndiCard, so you can use your card to make in-app or other digital commerce payments at participating merchants. When you select a card to use with Apple Pay or Google Pay, certain account information will be transmitted to and stored within your Device, which is then represented as a digital card.

Viewing Information and Payments

 

Apple Pay or Google Pay may also give you access to information about your card(s). Further information on these features will be provided by Apple Pay or Google Pay provider.

 

The Conditions

​

You agree to use your card(s) only with a Device properly equipped with Apple Pay or Google Pay and to comply with all terms and conditions applicable to Apple Pay or Google Pay. Please contact your Device provider direct if you want to know whether your Device is eligible for use with Apple Pay or Google Pay.
 

Before you register for Apple Pay or Google Pay, you must check that only your Security Details are linked to the card(s) you want to use on your Device, as these details will then be used for authorisation to make transactions on your Card Account. For the purposes of Apple Pay or Google Pay, any transactions made using your card and linked Security Details on the Device will be assumed to be authorised by you.
 

You will also be responsible for all uses and transactions made by third parties that either the primary account and / or additional card holder gives access to, including if these third parties misuse any card or Apple Pay or Google Pay.

​b. Eligibility

You may only use your assigned SyndiCard which is in your name that is not cancelled or blocked to create a digital replica of it for use with Apple Pay or Google Pay.
 

We may allow you to add the same card to a number of other Devices. Your Device provider may impose limitations or restrictions to Apple Pay or Google Pay or have minimum software and hardware requirements.

​c. Third-Party Agreements and Support

These Terms only apply to your use of your card(s). Your Device provider, your Wireless Carrier and other third-party websites or services integrated in or allowing the provision of Apple Pay or Google Pay have their own Third Party Agreements and you are subject to these when you give them your personal information, use their services or visit their sites. We are not responsible for the security, accuracy, legality, appropriateness or any other aspect of the content or function of any third party’s products or services.

It is your responsibility to read and understand the Third Party Agreements before creating, activating or using a digital replica of your card through Apple Pay or Google Pay.

 

We are not responsible for, and do not provide, any support or assistance for any third party hardware, software or other products or services (including Apple Pay or Google Pay and your Device). If you have any questions or issues with a third party product or service, please contact the appropriate third party for customer support.

 
d. Charges​

We do not currently charge a fee for using your card through Apple Pay or Google Pay. However, Third Party Agreements may have fees, limitations and restrictions which might affect your use of any of your card(s) on your Device, such as data usage or text messaging charges imposed on you by your Wireless Carrier. You are solely responsible for these fees and agree to comply with any limitations or restrictions.

 
​e. Privacy and Security

Your Information

​

When creating the virtual representation of your card, we collect certain information from your Device provider to verify your identity and for anti-fraud purposes. This information will be held by us for so long as required to fulfil this purpose and then deleted.
 

With regard to other information we collect, you authorise us to use and share your information in accordance with these Terms and the Syndi Privacy policy.
 

You agree that we may also collect and use technical data and related information about your Device to help us update and improve our products, services and for fraud prevention.

 

What Others Collect

 

Any information that is collected by the Device provider while you use a card or Apple Pay or Google Pay, is subject to the relevant Third Party Agreements, and is not governed by our Data Protection Statement or these Terms.

Device Notifications


You may receive notifications from us on your Device from time to time reflecting your Card Account activity. If you do not wish to receive notifications, please inform us via hello@syndi.health

Lost, Stolen or Unauthorised Use of Your Device

 

Call us immediately at hello@syndi.health if your Device or Security Details have been lost, stolen or used without your consent.
 

Also, if you think your security is at risk make sure you change your Security Details and check that only your fingerprints (or other applicable biometric data) are linked to your Device, to avoid any unauthorised use of your card or personal information.
 

You must co-operate with us in any investigation and use any fraud prevention or other related measures we give as required under these Terms and your account terms.
 

Apple Pay or Google Pay and your Device may use certain security features and procedures to protect against unauthorised use of any of your card(s). These features and procedures are the sole responsibility of the Device provider. You agree not to disable any of these security features and to use them to safeguard all your cards.

 

Protecting your Security Details

 

You are responsible for keeping your Security Details confidential. You should keep these, along with your Device, safe in the same way you would with your physical credit and debit cards and other personal identification numbers and passwords.
 

We recommend that you don't share your Security Details with anyone. If you share these details with anyone else or allow their details (including biometric data) to form part of your Security Details, they may be able to use your card(s) and access your personal and payment information through Apple Pay or Google Pay. They may also be able to use your card without your authority, for which you may be responsible. If the fingerprint of another person is used to unlock or make transactions on your Device, these will be treated as authorised by you.
 

If you receive a text message, email or other communication saying that you have registered for Apple Pay or Google Pay but you did not register, or if there are any transactions you do not recognise on your Device or your account statement, contact us as soon as possible.

​f. Suspension, Cancellation and Change to Functionality

In addition to any rights of termination, cancellation, suspension and closing your Card Account as set out in your account terms, we reserve the right (on giving reasonable notice where possible) to stop offering or supporting any digital card or to stop participating in Apple Pay or Google Pay.
 

We may block, restrict, suspend or terminate your use of any card through Apple Pay or Google Pay if you breach these Terms, your account terms, Apple Pay or Google Pay terms, any Third Party Agreements or if we suspect any fraudulent activity or misuse of the card.
 

In addition, the Device provider reserves the right to block, restrict, suspend, or terminate your use of the card and/or change the functionality of Apple Pay or Google Pay without reference to us. In such circumstances, we will not be liable to you or any third party.
 

You may remove any of your cards from Apple Pay or Google Pay at any time by pressing the appropriate button or link in the app on your Device, or by calling the number on the back of your card. In these circumstances, you authorise us to continue to process any outstanding transactions on your card.

​g. Interruptions to Apple Pay or Google Pay

We do not operate Apple Pay or Google Pay or such networks and have no control over their operations. We will not be liable to you for any circumstances that interrupt, prevent or otherwise affect the functioning of any virtual card.
 

The use of a card through Apple Pay or Google Pay involves the electronic transmission of personal information through third party connections. Because we do not operate or control these connections, we cannot guarantee the privacy or security of these data transmissions.

​h. Limitation of Liability - Apple Pay or Google Pay

Subject to your account terms, you agree that Apple Pay or Google Pay features and functionality may be automatically updated or upgraded without notice to you. At any time, we may decide to expand, reduce or suspend the type and/ or amounts of transactions allowed using a card or change the enrolment process. This right to update and upgrade Apple Pay or Google Pay features and functionality will not include changes to your Card Accounts, which will only be made in accordance with your account terms.

​i. Changes to these Terms of Use

We reserve the right to revise these Terms at any time in accordance with your account terms.

j. Communication

As a condition of your activating and using your card for Apple Pay or Google Pay, you agree to receive certain Service-related messages.

 

k. Attribution Notice (Apple Pay)

“Apple Pay is a trademark of Apple Inc., registered in the U.S. and other countries and regions.”

 

6) Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

 

7) Limitation of Liability - Syndi

  1. ​Syndi will always try to offer you Benefits from Programme Partners that it has undertaken its own due diligence on. However, you access and use the Platform and enjoy any Benefits entirely at your own risk and Syndi shall have no liability in respect of these Benefits (to which the applicable Programme Partner’s own terms will apply). You must evaluate, and bear all risks associated with, your use of the Platform and any Benefits. All decisions that you make in relation to the information that the Platform or any Programme Partner provides are made at your own risk and Syndi shall have no liability for and harm or loss suffered by you in reliance of this information. We do not purport to give any health or medical advice to you. You remain responsible for any decision that you make in using the Platform. 

  2. The express terms of these Terms are in place of all warranties, representations, conditions, terms, undertakings and obligations which but for the Terms would be implied or incorporated into the Terms, or any collateral agreement, by statute, common law, custom, trade usage, course of dealing or otherwise, all of which are excluded to the fullest extent permitted by law. 

  3. Nothing in these Terms shall operate to exclude or limit liability for: (i) death or personal injury caused by the negligence of Syndi its servants, agents, employees or sub-contractors; (ii) any breach or contravention of the terms implied by Section 2 Supply of Goods and Services Act 1982; or (iii) fraudulent misrepresentation.

  4. Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or £100GBP.

  5. Programme Partner Terms. If you select a service you are deemed to agree to the terms of the Programme Partner providing that service. Your use of any service may be subject to additional policies, rules or conditions of the applicable Programme Partner, and you understand and agree that you may not be permitted to access the service if you do not comply with these Terms or the policies of the Programme Partner. If you have questions about a Programme Partner’s policies or terms, please visit the applicable Programme Partner’s website or contact the Programme Partner directly.

  6. Syndi shall have no liability where a service is provided incorrectly, is incomplete, is faulty or where the Programme Partner fails to provide the service at all. In the event that you are unsatisfied with a service, we advise you to contact the relevant Programme Partner directly. 

  7. To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

 

8) "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

 

9) Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. 

 

10) Disputes Resolution

If You have any concern or dispute about the Service, You agree first to try to resolve the dispute informally by contacting the Company.

 

11) For European Union (EU) Users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.

 

12) United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

 

13) Severability and Waiver

​a. Severability - If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

b. Waiver - Except as provided herein, the failure to exercise a right or to require the performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

 

14) Translation Interpretation

These Terms and Conditions may have been translated yYou agree that the original English text shall prevail in the case of a dispute.

 

15) Changes to These Terms and Conditions

We reserve the right to change our terms and conditions at any time, as they are updated to meet changing needs and any new legislation.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
